1. Introduction & Scope

Welcome to DMChat. These Terms & Conditions ("T&C") govern your access to and use of the DMChat website located at dmchat.io, including any subdomains, marketing pages, documentation, and public-facing content (collectively, the "Website").

By accessing the Website, you confirm that you have read, understood, and agree to be bound by these T&C. If you do not agree to any part of these T&C, you must not use the Website.

If you create an account and use the DMChat SaaS platform, you are additionally bound by our Terms of Service (governing your use of the automation platform) and our Privacy Policy (governing how we collect, use, and protect your data).

1.1 About DMChat

DMChat is a software-as-a-service (SaaS) platform that helps Instagram Business account holders automate comment replies, direct message (DM) responses, and engagement workflows. DMChat integrates with the official Meta (Instagram) Graph API and uses Google Sign-In for authentication.

2. Definitions

In these Terms & Conditions:

• "User" or "You" refers to any individual or entity that accesses the Website, whether or not they hold a registered account
• "Service" refers to the DMChat SaaS platform, including all automation features, dashboards, and API integrations
• "Content" refers to all text, images, graphics, code, software, data, and other materials displayed on or accessible through the Website
• "Platform Data" refers to data obtained through Meta (Instagram) or Google APIs
• "We," "Our," or "Us" refers to DMChat, the operator of DMChat

3. Eligibility

By using the Website, you represent and warrant that:

• You are at least 18 years of age, or the minimum legal age required to enter into a binding contract in your jurisdiction
• If accessing the Website on behalf of a company or organization, you have the authority to bind that entity to these T&C
• You are not prohibited from using the Website or the Service under any applicable law

DMChat is not intended for use by individuals under the age of 18 or below the minimum age to operate an Instagram Business account. We do not knowingly collect personal data from minors.

4. Intellectual Property Rights

4.1 Our Intellectual Property

All content, features, and functionality of the Website — including but not limited to text, graphics, logos, icons, images, audio clips, software, and the underlying code — are the property of DMChat or its licensors and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

4.2 Limited License to Users

We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Website for personal or internal business purposes, subject to these T&C.

4.3 Restrictions

You must not:

• Reproduce, duplicate, copy, sell, resell, or exploit any portion of the Website or its Content without express written permission
• Modify, adapt, translate, reverse engineer, decompile, or disassemble any part of the Website
• Use data mining, robots, scraping, or similar data-gathering tools on the Website

• Frame the Website or use framing techniques to enclose any trademark, logo, or Content without written consent

4.4 Your Content

If you submit content to DMChat (e.g., automation templates, custom messages), you retain ownership of your original content. By submitting it, you grant DMChat a limited, non-exclusive license to use, process, and store that content solely for the purpose of delivering the Service to you.

5. Acceptable Use Policy

When using the Website or the Service, you agree not to:

• Use the Website in any way that violates applicable local, national, or international law or regulation
• Use the Website for any purpose that is fraudulent, deceptive, or misleading
• Transmit viruses, malware, or any other malicious code through or to the Website
• Attempt to gain unauthorized access to the Website, its servers, or any connected system
• Interfere with or disrupt the integrity or performance of the Website

6. Third-Party Platform Compliance

6.1 Meta (Instagram) Platform Policy

DMChat is built on the official Meta (Instagram) Graph API and operates in full compliance with Meta's Platform Terms and Developer Policies. As a user:

• You must comply with Instagram's Terms of Use and Community Guidelines when using automations
• You must only automate accounts that you own or have explicit authorization to manage
• You must not use DMChat to send spam, harass users, or violate any Instagram policy
• You understand that Instagram may restrict or ban accounts that violate its policies, regardless of whether DMChat was used

Platform Data: All Instagram data processed through DMChat is handled according to Meta's data usage policies. We do not sell, license, or share Instagram Platform Data with third parties. Platform Data is retained only as long as needed for your active automations and is deleted upon account disconnection or deletion.

6.2 Google API Services Compliance

DMChat uses Google Sign-In for user authentication. Our use of Google API data complies with the Google API Services User Data Policy, including the Limited Use requirements:

• Google user data is used solely for authentication and user identification within DMChat
• We do not transfer Google data to third parties except as necessary to provide the Service
• We do not use Google data for advertising, analytics, or any purpose unrelated to DMChat
• We do not allow humans to read Google user data unless explicitly authorized by you or required for security/legal compliance
• We do not use Google data to develop, improve, or train generalized AI or machine learning models

7. Data Collection on the Website

When you visit the Website (even without creating an account), we may collect:

• Technical data: IP address, browser type, operating system, referral source, and pages visited (for security and analytics)
• Cookies: Essential session cookies required for the Website to function correctly. We do not use tracking or behavioral cookies for unauthenticated visitors

For registered users, additional data is collected as described in our Privacy Policy. We strongly recommend reading our Privacy Policy to understand how we handle your personal data, including data from Google Sign-In and Instagram API integrations.

8. Data Deletion & User Rights

⚠️ Required by Meta Platform Policy — User Data Deletion

You have the right to access, rectify, and delete your personal data at any time. As a registered user, you can:

• Delete your account and all data: Navigate to Dashboard → Settings → Security → Delete Account for immediate permanent deletion
• Revoke Instagram permissions: Visit facebook.com/settings → Business Integrations and remove DMChat. We will purge all associated Instagram data within 24 hours
• Revoke Google permissions: Visit Google Account → Third-party apps & services and remove DMChat access
• Request data export: Email privacy@dmchat.io with Subject: "Data Export Request"
• Request deletion via email: Email privacy@dmchat.io with Subject: "Data Deletion Request". We will confirm deletion within 72 hours

Post-Deletion: After deletion, we retain only anonymised billing records as required by applicable tax law (up to 7 years). No personally identifiable information or Meta/Google Platform Data is retained.

9. Cookies & Website Analytics

9.1 Essential Cookies

We use essential cookies that are strictly necessary for the Website to function, such as session management and authentication state. These cookies do not track your behavior across other websites.

9.2 No Tracking Cookies

We do not use third-party advertising cookies, behavioral tracking pixels, or social media tracking scripts. We do not participate in any advertising networks or data-sharing arrangements with ad platforms.

9.3 Managing Cookies

You can clear cookies through your browser settings at any time. Disabling essential cookies may affect the functionality of the Website and will log you out of your account if you are currently signed in.

• Damages resulting from unauthorized access to or use of your account
• Damages resulting from any content posted or shared through the Service
• Damages resulting from Instagram account restrictions, reduced reach, or bans
• Any interruption or cessation of Service

Our total liability for any claim arising from or related to the Website shall not exceed the greater of (a) the amount you have paid to DMChat in the past 12 months or (b) $100 USD.

14. Indemnification

You agree to indemnify, defend, and hold harmless DMChat and its officers, directors, employees, agents, and successors from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to:

• Your use of the Website or the Service
• Your violation of these T&C or any applicable law
• Your violation of any rights of a third party
• Any content you submit or make available through the Service

15. Governing Law

These T&C shall be governed by and construed in accordance with the laws of the jurisdiction in which DMChat is registered, without regard to conflict of law principles. Any legal action arising from these T&C shall be brought in the courts of that jurisdiction, and you consent to the exclusive jurisdiction of such courts.

16. Modifications to These Terms

We reserve the right to revise these T&C at any time. When we make changes:

• For material changes, registered users will receive email notification at least 14 days in advance
• Your continued use of the Website after the effective date constitutes acceptance of the revised T&C

17. Severability

These T&C, together with our Terms of Service, Privacy Policy, and Refund Policy, constitute the entire agreement between you and DMChat regarding your use of the Website and the Service, and supersede all prior or contemporaneous agreements, communications, and proposals.
